OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

Upon termination, your right to use the Services ceases immediately. We may retain your data as required by law or for legitimate business purposes. All provisions of these Terms that by their nature should survive termination shall survive.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
You agree to submit to the exclusive jurisdiction of the courts located in Beijing, China for the resolution of any disputes arising from or related to these Terms or our Services.
Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Beijing, China, and you irrevocably consent to the personal jurisdiction and venue therein.
If you access our Services from outside China, you are responsible for compliance with local laws. We make no representation that our Services are appropriate or available for use in all jurisdictions.
YOU AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS ARBITRATION AGREEMENT, SHALL BE DETERMINED BY ARBITRATION IN BEIJING, CHINA BEFORE A SINGLE ARBITRATOR.
The arbitration shall be conducted in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC) or another mutually agreed arbitration institution.
YOU AND XINYU HEREBY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE ACTION. YOU MAY ONLY BRING CLAIMS AGAINST US IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
The arbitration requirement does not apply to:
You may opt out of the arbitration requirement within 30 days of accepting these Terms by contacting us at legal@xinyutechai.com with your name, address, and a clear statement of your intent to opt out.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
